Terms of Service & Membership Agreement

Effective Date: March 5, 2026

By purchasing or maintaining a membership with Centrally Cape Coral (“Centrally”), you agree to the following Terms of Service and Membership Agreement.

1. Membership Structure

Centrally offers several membership options, including:

• Virtual Address Memberships
• Coworking Memberships
• Dedicated Desk Memberships
• Executive Office Suites
• Consultation Room Memberships

Membership benefits vary by plan.

All memberships are month-to-month unless otherwise agreed in writing.

2. Billing & Payment

Recurring Billing

Memberships are billed monthly in advance through our secure billing platform (Stripe). By enrolling in a membership, you authorize Centrally to charge your payment method on file on your assigned billing date.

Members are responsible for maintaining a valid and current payment method.

Failed Payments

If a payment attempt fails:

• Stripe may automatically retry the payment
• Members must promptly update expired or declined payment methods

Access to services may be suspended if payment is not successfully processed.

Late Payments

Payments not successfully processed within 7 days of the billing date may be subject to a late fee at Centrally’s discretion.

Accounts more than 30 days past due may result in:

• Suspension of services
• Termination of membership
• Conversion to current published pricing

Centrally reserves the right to discontinue legacy pricing for accounts demonstrating repeated late or failed payments.

Grandfathered Pricing

Centrally may, at its discretion, allow certain members to retain legacy pricing plans provided accounts remain current and in good standing.

Accounts that become more than 30 days past due or demonstrate repeated late payments may be transitioned to the current published rate.

Cancellation Policy

Month-to-month memberships require 30 days written notice prior to cancellation.

No refunds are provided for unused time within a billing cycle.

Members on fixed-term agreements remain responsible for fees through the agreed term unless otherwise specified in writing.

3. Licensing & Compliance

Members are solely responsible for determining whether their selected membership plan satisfies any city, county, state, or federal licensing requirements.

Centrally makes no representations regarding licensing eligibility.

4. Insurance & Property

Members are strongly encouraged to maintain appropriate business insurance, including general liability and property coverage.

Centrally is not responsible for lost, stolen, or damaged personal or business property.

5. Internet & Utilities

Internet access is provided as a shared convenience and is not guaranteed to be uninterrupted or error-free.

Centrally does not guarantee specific internet speeds or uptime.

Temporary service interruptions, equipment resets, or utility disruptions may occur. Membership fees remain due regardless of temporary interruptions.

Members are responsible for determining whether the shared internet service meets their business needs.

6. Climate & HVAC

The building operates on a shared HVAC system designed to maintain overall comfort and efficiency throughout the workspace.

To help maintain a comfortable environment for all members, the shared thermostat should not be set below 75°.

Individual office temperature control cannot be guaranteed.

7. Professional Use of Premises

Centrally is a commercial workspace intended for lawful, professional business activities.

Residential use of the premises, including overnight stays or using the space as a primary living location, is not permitted.

Members may access the workspace outside traditional business hours; however, all use must remain consistent with a professional office environment.

Alcohol consumption, smoking or drug use, social gatherings, or activities unrelated to legitimate business use are not permitted without prior written approval.

Centrally reserves the right to determine whether any activity is inconsistent with the intended professional use of the workspace.

8. Shared Workspace Courtesy

Centrally is a shared professional environment.

Members agree to maintain a respectful atmosphere for all occupants.

Phone calls, meetings, and conversations should be conducted at a reasonable volume. If a conversation becomes disruptive to others working nearby, members may be asked to move to a more appropriate space or step outside.

Repeated disruption of the workspace may result in review of membership privileges.

9. Guests

Members may occasionally host guests or clients for legitimate business purposes.

Members are responsible for the conduct of their guests and must accompany them at all times within the workspace.

Access codes and keys may not be shared with guests.

10. Access & Security

Members are responsible for safeguarding issued keys and access codes.

Access codes may not be shared.

Lost keys are subject to a $75 replacement fee.

Doors must remain locked unless actively bringing someone into the space.

Centrally operates as a self-managed workspace without full-time on-site staff.

11. Security Monitoring

For security purposes, common areas of the workspace may be monitored by security cameras.

Cameras are not located in private offices or restrooms.

Recorded footage may be reviewed in the event of security concerns or facility issues.

12. Mail Services

Virtual address members must comply with USPS Form 1583 requirements.

Centrally cannot accept mail requiring signatures unless otherwise agreed.

Mail handling services are provided as a convenience only. Centrally is not responsible for delays, loss, or damage once mail has been delivered by the carrier.

Mail may be returned to sender if membership becomes inactive or unpaid.

13. Use Of Address

Businesses using this address for registrations, listings, or correspondence must maintain an active membership. If membership is canceled or becomes inactive, the address may no longer be used for those purposes.

14. Workspace Modifications

Members may not modify workspace furnishings, mount items to walls, install equipment, or alter workspace structures without prior approval.

15. Limitation of Liability

Centrally Cape Coral shall not be liable for any indirect, incidental, or consequential damages arising from the use of the workspace or services.

This includes, but is not limited to:

• business interruption
• loss of income
• loss of data
• equipment malfunction

Members use the workspace and facilities at their own risk.

To the fullest extent permitted by law, Centrally’s total liability for any claim shall not exceed the amount paid by the member during the previous billing cycle.

16. Right to Refuse or Terminate Service

Centrally reserves the right to refuse service or terminate memberships if a member:

• violates these Terms
• disrupts other members
• engages in unlawful activity
• uses the space in a manner inconsistent with a professional environment

Termination does not relieve members of outstanding financial obligations.

17. Policy Updates

Centrally reserves the right to update these Terms at any time.

Continued use of services after updates constitutes agreement to the revised Terms.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida.
